HMW COLLECTIVE — MEMBERSHIP TERMS OF USE Last updated: September 28, 2026 Welcome to HMW Collective. These Terms of Use ("Terms") govern your membership in and use of HMW Collective, including our member portal, directory, resource library, agenda generator, events, marketplace, and any other services we offer members (collectively, the "Services"). By submitting a membership application, checking the box to accept these Terms, or using the Services, you agree to be bound by them. If you do not agree, do not apply for or use the Services. 1. MEMBERSHIP AND ELIGIBILITY Membership is granted at HMW Collective's discretion. Submitting an application does not guarantee acceptance. We may review, approve, decline, suspend, or terminate any membership at any time, with or without cause, subject to the terms below. You agree to provide accurate, current information when you apply and to keep your profile information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. 2. DUES, BILLING, AND AUTO-RENEWAL Membership dues are billed annually at the rate in effect for your membership track at the time you join, as shown during checkout. Unless you cancel before your renewal date, your membership will automatically renew each year at the then-current rate, and the payment method on file will be charged automatically. We will email you a reminder in advance of each renewal. You may cancel auto-renewal at any time by contacting support@hmwcollective.com or through your account settings, if available. Cancellation takes effect at the end of your current paid period; we do not provide prorated refunds for early cancellation. Dues are otherwise non-refundable except where required by law or expressly stated otherwise. Promotional or discount codes are subject to their own stated restrictions (for example, first-year-only or first-time-member eligibility) and may be changed or discontinued at any time. 3. MEMBER CONDUCT You agree to engage with fellow members, staff, and guests respectfully and in good faith. You will not use the Services to harass, defraud, misrepresent yourself, solicit outside the bounds of the marketplace and referral features we provide, or violate any applicable law. We may remove content, restrict features, or suspend or terminate membership for conduct that violates these Terms or that we reasonably believe harms the community. 4. CONTENT AND INTELLECTUAL PROPERTY Materials we provide through the Services — including the resource library, agenda templates, generated agendas, and other original HMW Collective content — are provided for your personal use as a member and may not be resold, redistributed, or represented as your own original work product outside the Collective, except as we expressly permit. If you submit or upload content (resources, comments, profile information, agendas, or other materials), you retain ownership of it, but you grant HMW Collective a non-exclusive, royalty-free license to host, display, and share that content within the Services as reasonably necessary to operate them. You represent that you have the right to share any content you submit. Content generated through the Agenda Generator or similar tools is provided to assist your own planning; you are responsible for reviewing it before use, and we make no guarantee of its accuracy or fitness for any particular purpose. 5. DIRECTORY AND MEMBER INFORMATION Your directory listing and any information you choose to share with other members (for example, in the Circle, marketplace, or referral features) will be visible to other members as described in the relevant feature. Do not share information a fellow member gives you outside the Services without their consent. 6. NO PROFESSIONAL ADVICE HMW Collective and its Services are provided for professional community, education, and networking purposes. Nothing in the Services constitutes legal, financial, tax, or other professional advice, and you should not rely on it as such. Any advice or guidance shared by fellow members, including through the agenda generator, directory, or events, reflects that individual's own views, not those of HMW Collective. 7. DISCLAIMER OF WARRANTIES The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. 8. LIMITATION OF LIABILITY To the fullest extent permitted by law, HMW Collective and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your membership or use of the Services. Our total liability for any claim arising out of these Terms or the Services will not exceed the dues you paid in the twelve (12) months preceding the claim. 9. TERMINATION You may cancel your membership at any time by contacting support@hmwcollective.com. We may suspend or terminate your membership, with or without notice, for violation of these Terms, non-payment, or conduct we reasonably believe harms the Collective or its members. Sections of these Terms that by their nature should survive termination (including Sections 4, 6, 7, 8, and 11) will survive. 10. CHANGES TO THESE TERMS We may update these Terms from time to time. If we make material changes, we will make reasonable efforts to notify members (for example, by email or portal notice) before the changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms. 11. GOVERNING LAW AND CONTACT These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws principles, unless applicable law requires otherwise.
